Terms of Service
Trocaly, operated by Floyd Xiao as a sole proprietor in Ontario, Canada.
1. What Trocaly is
Trocaly is a members-only exchange community. Members give goods, skills, and rides to each other and earn credits for giving. Credits are spent to receive from other members. Trocaly is a platform and community, not a party to exchanges between members.
2. Membership
- Trocaly is for adults (18+). One account per person; accounts are not transferable.
- Membership is CA$150 per year, renewable annually. Founding members may join free during the founding period of a new local cluster, as announced in the app.
- Membership buys access to the community for one year. It does not guarantee that any particular item, service, or ride will be available.
- You may cancel within 10 days of paying for a full refund if you have not completed an exchange in that period. After that, membership fees are not refundable, but you may stop renewing at any time.
3. Credits
- Credits have no cash value. They cannot be bought, sold, transferred to another person, exchanged for money, or redeemed for anything outside Trocaly. They are not cryptocurrency.
- Credits are created only when an exchange is completed and confirmed by both members.
- When you claim something, the agreed credits are held until both sides confirm the exchange happened. If the exchange does not happen, held credits are returned in full.
- New members receive a credit line (starting at 100 credits, growing to 300 and then 500 with a good record) so they can receive before they have given. A negative balance must be worked back by giving; a member who leaves with a negative balance and does not return may have their membership reviewed.
- Trocaly may adjust the credit system to protect the community (for example, freezing a credit line after repeated no-shows). Credits never expire while a membership is active.
4. Exchanges between members
- Members set their own asking credits and may negotiate (offers and counter-offers). Trocaly does not set prices.
- Never confirm an exchange that did not happen or where the item/service was not as described. Confirmation is what moves credits.
- No-shows: if a member does not show up and did not reschedule beforehand, the exchange is cancelled, held credits are returned, and the no-show is recorded on that member's profile. Three no-shows may lead to a frozen credit line and membership review or suspension.
- Members are responsible for their own safety at in-person exchanges and rides: meet in public places where practical, and use the in-app report tools for any problem.
5. What can never be exchanged
Food and drinks; alcohol, cannabis, tobacco, and vapes; medicines; weapons, ammunition, and pepper spray; used baby car seats and cribs; used helmets; counterfeit goods; live animals; and services that legally require a licence (such as medical or legal advice, or electrical and gas work). Trocaly may remove any listing at its discretion.
6. Rides
Rides are not yet offered on Trocaly. When rides launch, the following will apply: rides will be offered by members using their own vehicles and insurance. Drivers must hold a valid licence and insurance. Trocaly will not provide transportation and is not responsible for any journey. Riders and drivers will arrange meeting points in the app and should share trip details with someone they trust.
7. Acceptable use
No fraud, fake listings, fake accounts, harassment, or using Trocaly to arrange anything illegal. Trocaly may suspend or end a membership for conduct that harms the community, without refund in cases of fraud or abuse.
8. Complaints and enforcement
- Reporting a problem. If something goes wrong — a no-show, an item or service not as described, unsafe or abusive behaviour — report it in the app: tap "Something's wrong" on the exchange (in I Want), or "Report this listing" on any listing. For anything else, email support@trocaly.com. Credits connected to a reported exchange stay held while the problem is reviewed.
- How review works. Trocaly reads the report and may review the exchange record and the messages sent through the app about it (see the Privacy Policy). Trocaly may ask either member for their side, and aims to decide within 7 days of the report.
- The enforcement ladder. For most problems, enforcement climbs in steps: a reminder or warning → a strike on the member's record → a frozen credit line → suspension → membership ended. Trocaly may skip steps and suspend or end a membership immediately for fraud, fake accounts, harassment, threats, illegal use, or anything that puts another member's safety at risk.
- Your chance to respond. If Trocaly plans to suspend or end your membership, you will be told the reason and given 7 days to respond before the decision becomes final — except in urgent safety or fraud cases, where Trocaly may act first and hear your response afterwards.
- Fairness. The rules are enforced based on conduct only. Trocaly never suspends or ends a membership because of a member's race, ancestry, place of origin, ethnic origin, citizenship, creed, sex, sexual orientation, gender identity or expression, age, marital or family status, or disability.
- Refunds and credits on removal. If a membership is ended for fraud or abuse, the membership fee is not refunded (see section 7). Otherwise, section 2's cancellation terms apply. Held credits under review are decided as part of the review; earned credits are never paid out in cash in any case (see section 3).
- Records. Trocaly keeps records of reports, warnings, and decisions so the rules are applied consistently (see the Privacy Policy).
- Emergencies. If anyone is in danger, call 911 first, then report it in the app. Trocaly may share information with authorities where the law requires or safety demands it.
- Trocaly's decision after review is final within the service. Nothing in this section limits rights you have under Ontario consumer law.
9. Liability
Members exchange with each other at their own risk. To the maximum extent permitted by law, Trocaly's liability for any claim is limited to the membership fees you paid in the current year. Nothing in these terms limits rights you have under Ontario consumer law.
10. Changes and governing law
Trocaly may update these terms; material changes will be announced in the app before they apply. These terms are governed by the laws of Ontario and Canada.
